1. Scope of the General Terms and Conditions
1.1 These General Terms and Conditions (“GTC”) shall apply to all Stagecoach courses offered by the independent Stagecoach companies operating in Germany (hereinafter referred to as "Stagecoach"), partners of Stagecoach Theater Arts Limited, UK.
1.2 Contracts to be concluded with legal guardians (hereinafter "Parents") via the Stagecoach website shall be governed exclusively by these GTC. The GTC also contain the statutory advance information. The parents act as consumers (§ 13 BGB) when concluding course contracts.
1.3 Stagecoach offers parents the opportunity to conclude contracts via the Stagecoach website for their children (hereinafter referred to as "students") to participate in singing / dancing / acting courses (hereinafter referred to as "courses" and individually a "course unit").
1.4 Parents expressly agree to the validity of these GTC before concluding the course contract.
1.5 Unless otherwise provided for in these GTC, the relevant legal provisions shall apply.
1.6 If an adjustment to these GTC is necessary in order to remedy a subsequent, unforeseeable disruption of the equivalence relationship to a not insignificant extent, that was not caused or was outside the control of Stagecoach, Stagecoach shall be entitled to make amendments to individual provisions of the GTC as required. Amendments may not change the original contractual (equivalent) relationship of the contract to the detriment of the student and his/her parents. An amendment shall be deemed to have been approved if the parents do not object in written form within six weeks of notification. If they object, Stagecoach shall have a special right of termination.
 
2. Course Days, Lesson Duration and Trial Period
2.1 Stagecoach lessons for "Early Stages", "Main Stages" and "Further Stages" courses are organised in 3 terms per year. Classes take place once a week. An average term comprises 12 teaching days of 3 teaching units each, a total of 36 teaching units per term. These courses do not usually take place on Sundays, public holidays and during public school holidays.
2.2 Depending when the statutory school holidays and public holidays fall, the number of teaching days may vary. Stagecoach will inform you of the exact dates of the teaching days in the respective term in good time.
2.3 A lesson in the "Main Stages" and "Further Stages" course corresponds to 60 minutes, a lesson in "Early Stages" course is generally adjusted to 30 minutes according to age (in some Stagecoach schools "Early Stages" is offered in lessons of 40 minutes for older Early Stages children).
2.4 The courses take place at a location chosen by the parents at the time of registration (hereinafter "course location").
2.5 For termly courses, the first two course units (lessons) are considered trial units. Should the parents or the student, for whatever reason, not wish to continue with the course, they may cancel the course after the second trial session up to two days before the third session. The date of receipt of the cancellation by Stagecoach is decisive. The deposit shall be deemed to be the payment for the two course units and shall not be refunded.
2.6 The scope of services and the running times of workshops / holiday courses are published on the Internet on the respective course pages and in the course descriptions. With the registration for the workshop, a limited contract is concluded, which ends after the end of the workshop / holiday course.
2.7 Workshops and holiday courses usually take place during the statutory school holidays. They can also take place on Sundays and public holidays.
2.8 The class / workshop times and fees at the respective school location are available on the respective franchisee's website (available at https://www.stagecoach.de/schulstandorte), the registration confirmation or the information documents for the relevant franchisee.
 
3. Course offers on the website
3.1 The course offers described on the Stagecoach website represent a non-binding invitation to parents to conclude a course contract with Stagecoach (invitatio ad offerendum).
3.2 By clicking the button "Register for a course now", the registration declaration is binding for the parents.
3.3 Before submitting this declaration, the registration process will once again summarise all the essential features of the booked course (including the content of the course, duration of the course, course location, fee for the course and payment options). In addition, parents are given the opportunity to check all the data they have entered, including their personal data and that of the student, and to correct it if necessary.
 
4. Conclusion of Contract, Deposit, Course Fee
4.1 After receipt of the registration, Stagecoach shall check the course capacity. If the desired course place is available, Stagecoach will send a course application confirmation. The course contract is concluded on receipt of this confirmation.
4.2 On receipt of the course confirmation, a payment is due – either a deposit (course fees for 2 weeks of lessons) or the whole course amount. Parents will be informed of this together with the course confirmation.
4.3 If the desired course place is not available, Stagecoach will inform the parents and ask whether the student should be placed on the waiting list. As soon as the desired course place is available, whether before the start of the course or during the course, Stagecoach will inform the parents and ask whether the course contract should still be concluded. If this is the case, the contract will be concluded as previously described.
4.4 For courses lasting one term (hereinafter "Term Courses"), Parents may choose to pay the total Course Fee in full, (less any deposit already paid) either
(i) via a bank transfer to the stated bank account (see acceptance letter) or
(ii) as installments via direct debit (Lastschrift) as agreed with the Principal of the school.
Unless otherwise agreed with the Principal the whole course fee must be paid by the first day of the
current term.
4.5 If the agreed deposit has not been credited to Stagecoach's account within 10 days of receipt of the
course confirmation, Stagecoach shall be entitled to terminate the course contract with immediate effect.
4.6 In the case of courses lasting less than one term (hereinafter "workshops and holiday courses"), the amount for the entire course less any deposit shall be due on the first day of the course.
4.7 If a course begins in a period in which the statutory cancellation period has not yet expired and the parents cancel their contractual declaration (cf. clause 12), Stagecoach shall refund the course fee paid, including the deposit, to the parents.
4.8 If costs relevant to the course fees (such as wages, etc (for example team member wage costs, venue hire costs, or GEMA costs) have increased by more than 5% since the conclusion of the contract or the last fee adjustment and if they cannot be offset by cost reductions in other areas, Stagecoach shall be entitled to increase the course fees accordingly. In the event of a corresponding reduction in costs, Stagecoach shall be obliged to reduce the course fees accordingly. In the event of an increase, parents are entitled to terminate the contract without notice within four weeks of notification of the increase. Stagecoach shall draw attention to this fact when notifying the parents of the increase.
 
5. Payment Options
5.1 Depending on the Stagecoach company, the following payment options may be available: Bank transfer, direct debit, credit card, debit card and cash payment.
 
6. Purchase of Stagecoach T-Shirt
6.1 Parents have the option to purchase a Stagecoach branded t-shirt (hereafter "training shirt") for the student from the Stagecoach Online shop (https://www.stagecoachshop.de/ - also available locally from some Principals). Students are encouraged to wear this training shirt during the Stagecoach course sessions – see clause 9.1.
 
7. Course Duration, Termination, Age of Majority
7.1 Termly courses run for one term. If the parents do not terminate the term’s course with four weeks' (30 days) notice before the end of the course, this course will be continue indefinitely. After the end of the first term, the course may be terminated at any time with 30 days (4 weeks) notice.
7.2 Notwithstanding Clause 7.1 the following shall apply to holiday workshops or holiday courses (including online activities):
i. If the Parent terminates the tuition contract for Stagecoach tuition as part of a holiday workshop or holiday course within fourteen (14) days prior to the start of the holiday workshop or holiday course, the Parent shall pay fifty (50) percent of the tuition fee for the holiday workshop or holiday course.
ii. If the Parent terminates the contract for Stagecoach tuition for a Holiday Workshop or Holiday Course within seven (7) days prior to the commencement of the Holiday Workshop or Holiday Course, the Parent shall pay the full tuition fee for the Holiday Workshop or Holiday Course.
7.3 All courses can be terminated for good cause at any time. An important reason for the parents is given in particular in the case of a move more than 30 kilometres from the originally booked course location.
7.4 Good cause for Stagecoach shall be deemed to exist in particular if the student or his/her parents violate the rules set out in clause 9 or if the parents (in the case of payment by installments) are more than 21 days in arrears with an agreed payment.
7.5 The tuition contract shall terminate without notice at the end of the term in which the student reaches the age of eighteen (18). Thereafter, however, the student may, on a voluntary basis and by agreement with Stagecoach, extend his/her participation in lessons from term to term.
 
8. Course Content and Structure
8.1 Stagecoach teachers (hereinafter referred to as "teachers") create course content on their own initiative and at their own pedagogical discretion.
8.2 Students and parents have no right to a specific teacher and a specific course design. Parents have no right to attend classes during the course units.
8.3 If a course session needs to be cancelled or the time or location of a course session needs to be changed, Stagecoach will give as much notice as possible by email and, where relevant, indicate the new time or location of the course session. If this has to be done at short notice, Stagecoach will notify parents by email, text message or call to their mobile phone. Parents will ensure that Stagecoach has up-to-date contact details.
In the event of cancellation, Stagecoach will offer a replacement course session where possible. If such a replacement cannot be offered, Stagecoach will offer a pro-rata refund of the fee received for the cancelled course session.
8.4 If a face-to-face course cannot take place due to force majeure or other circumstances for which Stagecoach is not responsible, Stagecoach shall be entitled, at its own discretion and for the required duration, to replace the face-to-face course with an online course. Such circumstances include in particular legal, official or school closure orders, epidemics, pandemics, other health hazards, fire, flood, storm, earthquake, war, strike or other exclusion. Students and parents have no right to Stagecoach providing them with the technical requirements for participation in the online course (internet connection, device with internet access and video and audio equipment) or other aids (music, music system, etc.).
8.5 Stagecoach is exclusively entitled to all rights to the Stagecoach Internet pages, including software, texts, photos, videos, graphics, trademarks and brand elements. All industrial property rights arising during a course, holiday workshop, holiday course or during performances are the property of Stagecoach.

9. Behaviour Obligations / Illness
9.1 Parents and students must ensure that the student arrives on time and in appropriate training attire and appropriate footwear (jazz dance shoes are recommended). Students should wear black gymnastic or training trousers, either a Stagecoach branded training shirt or a plain black (for Main Stages or Further Stages) or yellow T-shirt/ sweatshirt (for Early Stages).
9.2 Parents and students are jointly responsible for ensuring that students follow the Student Code of Conduct.
9.3 If a student is ill or shows symptoms of illness (in particular but not exclusively fever, cold, cough, nausea and vomiting) he/she must stay away from the course.
9.4 Parents are required to inform the teacher of any pre-existing conditions or injuries the student may have that do not affect the student's participation in the course. If a student has pre-existing conditions or injuries that would make it difficult or impossible for the student to participate, a course contract cannot be made for the student. Any changes to a students general health should be communicated to Stagecoach in writing without delay.

10. Data Protection
10.1 Information on data protection and the rights of parents and students can be found on the website https://www.stagecoach.de/datenschutz-und-impressum.
10.2 Stagecoach is entitled to make audio and video recordings of offline and online events for quality assurance and promotional purposes, provided that the parents or the student of legal age have given their written consent to the recordings. Stagecoach shall provide a form for this purpose effect (media consent form).

11. Intellectual Property Rights
11.1 Stagecoach reserves all rights to its websites, including software, text, media, logos, trademarks and brand elements. These General Terms and Conditions do not restrict Stagecoach's intellectual property rights in any way. All industrial property rights created during lessons, holiday workshops or holiday courses are the property of Stagecoach.

12. Liability
12.1 The student participates in the course at his/her own risk.
12.2 Stagecoach shall be liable exclusively in accordance with the following provisions:
(a) In the event of intent and gross negligence - irrespective of the legal grounds - Stagecoach shall be liable for damages in accordance with the statutory provisions.
(b) In the event of simple negligence, Stagecoach shall only be liable in the event of breach of a material contractual obligation, limited to compensation for foreseeable, typically occurring damage. An essential contractual obligation is an obligation the fulfilment of which makes it possible to achieve the purpose of the contract and on the fulfilment of which the Student and his/her parents may regularly rely.
(c) The limitations of liability in (a) and (b) do not apply to damages resulting from injury to life, body or health. Furthermore, they shall not apply in the event of fraudulent concealment, in the event of a guarantee exceptionally assumed by Stagecoach or in the event of claims under the Product Liability Act.
(d) Insofar as Stagecoach's liability is excluded or limited, this shall also apply to the personal liability of representatives and vicarious agents.
12.3 The Student and his/her parents shall be liable in accordance with the statutory provisions. In particular, they shall be liable for the accuracy of the information they provide regarding the Student's previous illnesses and injuries.
12.4 The Student and his/her parents shall indemnify Stagecoach against all claims made by third parties against Stagecoach based on incorrect information. The indemnity shall also include the reasonable costs of legal defence. If the Student or his/her parents are partly responsible for the occurrence of damage, the Student and his/her parents shall also indemnify Stagecoach to the same extent.

13. Right of Revocation
13.1 As the parents are consumers and conclude the contract with Stagecoach by means of distance selling, they shall have a right of revocation in accordance with the statutory provisions.
13.2 The fourteen-day period within which parents have the right to withdraw from the contract without giving reasons begins on the day the contract is concluded. In order to exercise the right of withdrawal, the parents must inform the relevant Stagecoach Principals in an e-mail by means of a clear statement of their decision to withdraw from this contract.
13.3 Parents may, but are not obliged to, use the contact form available at https://www.stagecoach.de/kontakt (select “Cancellation” as option). In order to comply with the withdrawal period, it is sufficient for the parents to send the notification of the exercise of the right of withdrawal before the expiry of the withdrawal period.
13.4 Consequences of Cancellation
a) If the Parents cancel the contract, Stagecoach shall repay all payments received by Stagecoach from the Parents without delay and at the latest within fourteen days of the day on which Stagecoach received notification of the revocation. Stagecoach shall use the same means of payment for the repayment that the parents used for their payment, unless expressly agreed otherwise. In no case shall the parents be charged any fees because of this repayment.
b) If the parents wish to take part in the course during the cancellation period, they must reimburse Stagecoach an amount corresponding to the proportion of the course fees paid up to the time the cancellation is sent.

14. Final Provisions
14.1 Amendments and supplements to the contract, including these GTC, shall be made in writing for the sake of evidence. Should any provision of the contract, including these GTC, be or become invalid, this shall not affect the validity of the remaining provisions. The parties undertake to replace the invalid provision with a legally permissible provision that comes as close as possible to the intended economic purpose of the invalid provision. The same applies to a contractual omission.
14.2 German law shall apply.
 
The EU Commission has established a platform for the online settlement of disputes between entrepreneurs and consumers (ODR platform). The ODR platform can be accessed at https://ec.europa.eu/consumers/odr/main/index.cfm? event=main.home.show&lng=DE. The contractor is not obliged to participate in a procedure for alternative dispute resolution of a consumer arbitration board and currently does not do so.
